Terms of Service

By accessing or using 121212.reviews (the “Platform”), operated by MCM Enterprises, a DBA of SlateRiver LLC, a New Mexico limited liability company, you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and SlateRiver LLC governing your use of the Platform, including but not limited to browsing reviews, submitting reviewer applications, publishing reviews, and participating in the affiliate program. Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes.

We encourage you to review these Terms periodically. If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

You must be at least 18 years of age to use the Platform. By accessing or using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Platform under any circumstances.

To apply as a reviewer, you must provide accurate personal information, a valid email address, and a sample review demonstrating your ability to produce honest, substantive content. Approval is at our sole discretion. We reserve the right to deny, suspend, or revoke reviewer status at any time for any reason.

Approved reviewers receive a unique handle and may be assigned a subdomain (e.g., yourhandle.121212.reviews). Your handle must not impersonate any real person, brand, or organization. Handles that are misleading, offensive, or violate the intellectual property rights of others will be rejected or revoked without notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. SlateRiver LLC is not liable for any loss or damage arising from your failure to safeguard your account information.

Subdomains are licensed, not owned. We retain full ownership and control over all subdomains under the 121212.reviews domain and may reassign, modify, or revoke subdomains at our discretion.

All reviews published on the Platform must be honest, based on genuine personal experience, and free from material misrepresentation. Reviewers must have actually used, purchased, attended, or otherwise experienced the product, service, or event they are reviewing. Reviews based on secondhand information, hearsay, or speculation are prohibited.

The following content is strictly prohibited: fake reviews, paid-for-positive reviews, reviews intended to sabotage a competitor, reviews containing defamatory statements, reviews that violate any person's privacy, reviews containing hate speech or discriminatory language, and reviews that include sexually explicit or violent content unrelated to the product or service being reviewed.

We reserve the right to remove, edit, or refuse to publish any review that violates these standards. Repeated violations will result in permanent revocation of reviewer privileges and forfeiture of any unpaid affiliate commissions.

Approved reviewers may participate in the 121212.reviews affiliate program, which provides commission on qualifying purchases made through affiliate links embedded in their reviews. Full terms of the affiliate program are set forth in our separate Affiliate Program Terms, which are incorporated by reference into these Terms.

Participation in the affiliate program is subject to compliance with all applicable Federal Trade Commission (FTC) guidelines, including 16 CFR Part 255, which requires clear and conspicuous disclosure of material connections between reviewers and the products or services they review. Failure to comply with FTC disclosure requirements may result in termination from the program and forfeiture of earned commissions.

The Platform, including its design, layout, graphics, logos, icons, text, software, and all associated branding, is the property of MCM Enterprises (a DBA of SlateRiver LLC) and is protected by United States and international copyright, trademark, and other intellectual property laws. The “121212” name, logo, and associated branding are trademarks of SlateRiver LLC.

By publishing a review on the Platform, you grant SlateRiver LLC a non-exclusive, royalty-free, worldwide, perpetual license to display, reproduce, distribute, and sublicense your review content across the Platform and the broader 121212 ecosystem. You retain ownership of your original review content and may republish it elsewhere, provided such republication does not violate these Terms.

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Platform or its systems; (c) interfere with or disrupt the Platform or its servers; (d) use automated tools, bots, or scrapers to access, collect, or index Platform content without prior written consent; (e) submit false or misleading information in any form; (f) engage in cookie stuffing, click fraud, or any other manipulation of the affiliate tracking system.

Violations of this section may result in immediate termination of your account, revocation of reviewer privileges, forfeiture of unpaid commissions, and potential legal action. We reserve the right to cooperate with law enforcement authorities in investigating and prosecuting users who violate these Terms.

The Platform contains links to third-party websites, including merchant sites, product pages, and other platforms within the 121212 ecosystem. These links are provided for your convenience and do not signify our endorsement of the linked website or its contents. We have no control over the content, privacy practices, or availability of third-party websites.

Your interactions with third-party websites, including purchases made through affiliate links, are solely between you and the third party. SlateRiver LLC is not responsible for any loss, damage, or dispute arising from your use of or reliance on any third-party website or service accessed through the Platform.

The Platform and all content available through it are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. SlateRiver LLC makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any review, rating, or other content published on the Platform.

Reviews represent the individual opinions of their authors and do not constitute endorsements by SlateRiver LLC, MCM Enterprises, or any affiliated entity. We do not independently verify the factual claims made in reviews and cannot guarantee that any reviewed product or service will meet your expectations.

To the fullest extent permitted by applicable law, SlateRiver LLC, MCM Enterprises, and their officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Platform.

In no event shall our total liability to you for all claims arising from or related to the Platform exceed one hundred dollars ($100.00). This limitation applies regardless of the legal theory on which the claim is based, including negligence, breach of contract, or any other theory.

You agree to indemnify, defend, and hold harmless SlateRiver LLC, MCM Enterprises, and their officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) any review or content you submit; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights.

This indemnification obligation will survive the termination of your account and these Terms.

We reserve the right to update or modify these Terms at any time at our sole discretion. When we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

We may, but are not obligated to, notify users of significant changes through the Platform or via email. It is your responsibility to review these Terms periodically for changes. Material changes to the affiliate program terms will be communicated to active reviewers via email with at least 14 days' notice before taking effect.

We may terminate or suspend your access to the Platform, your reviewer account, or your participation in the affiliate program at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

If your reviewer account is terminated for cause (e.g., violation of content standards or affiliate terms), any unpaid commissions may be forfeited at our discretion. If your account is terminated without cause, we will pay any earned and verified commissions within 30 days of termination.

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the State of New Mexico. You consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
